Deal creates world’s largest single provider of digital dailies, encoding and production workflow services for film & TV industry
Los Angeles, April 16, 2007 - Sample Digital Holdings LLC is leading a transaction and financing to enable the roll-up of three leading independent digital media service suppliers to the film and television industry.
Hyperion Entertainment Group is backing the roll-up which combines LA-based Digital Dailies LLC, Sample Digital Media Services LLC and DAX Solutions, Inc. into a new entity designed to leverage the strengths of each company. The combined company, to be named later, will provide studios, networks, and independent production companies with the most extensive suite of production workflow acceleration and media management tools, including secure digital dailies, content distribution, world-class encoding services and dynamically increased customer support.
Digital Dailies® and DAX together currently supply the majority of the industry with highly secure, web-based digital production workflow and Digital Dailies® solutions, a service that minimizes inefficiencies throughout the content creation, distribution and approval process. Both companies currently supply both web-based and set top box applications that create a secure online environment where producers, management, distribution and licensing partners can share ideas, information and content created throughout the production or campaign lifecycle, or as required for trafficking and distribution of final product. The combined companies will be positioned to meet the media and entertainment industry’s growing demand for end-to-end electronic management of the production process.
Led by founders Josh C. Kline (CEO - Digital Dailies, Sample) and Patrick Macdonald-King (CEO - DAX), the companies involved in this stage of the roll-up are:
“We have been discussing this transaction on and off for the past three years,” said Kline. “The time was right to do it, and Patrick is the right executive to lead the endeavor as we integrate these companies and continue to look at future expansion and potential acquisitions.”
Patrick Macdonald-King, CEO of DAX Solutions, will absorb the day-to-day management responsibilities and CEO duties of all three entities, working closely with Kline in the alignment and merger of operations, as well as formulating long term strategy for additional roll-up opportunities and product integration. Staff levels of all combined companies are expected to remain intact.
“This move is all about delivering an industry standard production workflow and exchange platform to studios and networks as well as opening the door to greater expansion for our new company,” said Macdonald-King. “Current clients can expect continued product support and the same quality experience with all of the services provided by DAX, Sample, and Digital Dailies.”
Digital Dailies’ robust play list and collaboration tools are now offered alongside DAX’s industrytargeted media asset management, content creation workflow tools and enhanced secure worldwide streaming infrastructure. DAX’s proprietary content delivery network - the Virtual Entertainment Industry Network - is comprised of regionally deployed Edge Accelerators (Edge Servers) in major markets including New York, Toronto, Los Angeles, and London as well as deployments at most major studios and networks, is capable of servicing any producer/distributor relationship with minimal roll out time.
